1. Confidential Information. All pricing, subscription terms, platform features, proprietary calculators (including the Catalog Valuation Calculator and Portfolio Simulator), methodology, data sources, user interface, and any information shared through the platform or in private consultations is considered strictly confidential.
2. Non-Disclosure. Member agrees not to share, publish, screenshot, republish, or disclose any Confidential Information to any third party, including competitors, media, or via social media.
3. Non-Circumvention. Member agrees not to use SoundPulse's methodology, tools, or intelligence to build or support a competing platform.
4. Screenshot & Access Tracking. Member acknowledges that platform access is logged by IP address, session, and user identity. Unauthorized distribution of Confidential Information may result in legal action and liquidated damages.
5. Term. Obligations under this Agreement survive termination of membership for a period of three (3) years.
6. Liquidated Damages. In the event of material breach (including public disclosure of pricing or methodology), Member agrees to liquidated damages in an amount specified in the full agreement.
7. Governing Law. Subject to the laws of the State of New York.
